Terms of Business

I work with companies on a freelance basis and place great importance on a professional, trust-based and collaborative working relationship. Communication projects are delivered with care, strategic thinking and a strong commitment to quality.

These Terms of Business apply to all assignments and are intended to provide clarity about how we work together. They are deliberately written in clear and accessible language to explain our mutual rights and responsibilities.

These Terms of Business apply to all PR services provided by Carmen Kommer as an independent PR consultant to businesses, organisations and self-employed professionals.

Services are provided exclusively to businesses, organisations and self-employed professionals. Contracts with consumers are excluded.

I provide consulting and support services in the field of public relations, including strategic communications, media relations, content creation, project support and other PR-related services agreed on an individual basis.

Services are provided with due care, diligence and in accordance with generally accepted professional standards.

As an independent consultant, I remain free to determine how services are delivered while ensuring alignment with the agreed objectives. I organise my work independently to ensure the efficient and proper fulfilment of contractual obligations.

To enable efficient delivery of services, the client shall provide all necessary information, materials and contact persons in a timely and accurate manner.

If delays occur due to missing, incomplete or late information, agreed deadlines shall be extended accordingly. I shall not be liable for delays or deficiencies resulting from circumstances beyond my control.

Fees are agreed individually and may be based on fixed project fees or daily rates. For ongoing assignments, invoices may be issued monthly.

Invoices are sent by email or post after services have been provided. Payment is due within 14 days of receipt of the invoice unless otherwise agreed.

I shall be liable without limitation in cases of intentional misconduct, gross negligence or injury to life, body or health. In cases of ordinary negligence, liability shall be limited to breaches of essential contractual obligations and to foreseeable damages typical for this type of contract. Any further liability is excluded to the extent permitted by law.

I assume no responsibility for content, data or materials provided by the client. The client shall indemnify and hold me harmless against any third-party claims arising from unlawful use of such materials.

The duration of a project shall be agreed individually. Either party may terminate the contractual relationship at any time for good cause.

Upon termination, confidential documents shall be deleted or returned upon request, unless statutory retention obligations require otherwise.

All information obtained during the collaboration shall be treated as strictly confidential, including after the end of the project.

I comply with all applicable data protection laws, in particular the General Data Protection Regulation (GDPR) and applicable German data protection legislation.

All contractual relationships between the client and Carmen Kommer shall be governed by German law.

The exclusive place of jurisdiction, where legally permissible, shall be the registered office of Carmen Kommer in Burgdorf, Germany.

Should any provision of these Terms of Business become invalid, the remaining provisions shall remain unaffected. The parties shall replace the invalid provision with an appropriate alternative that most closely reflects its original intent.

 These Terms of Business may be updated from time to time. Any changes shall apply only to future projects and shall not affect existing agreements unless both parties agree otherwise.
